Harmony and Resonance LTD is a not-for-profit Company Limited by Guarantee that exists to support the growth, sustainability, innovation, and income generation of VCSE organisations, social ventures, and young entrepreneurs.

Role Title: Non-Executive Director (NED)
Type of Position:
Voluntary (reasonable expenses may be reimbursed)
Reporting to:Founder and Sole Member – Nathan Gonzalez
Purpose of the Role
The purpose of the Non-Executive Director role is to provide strategic guidance, governance oversight, and mission safeguarding to support the long-term sustainability and integrity of Harmony and Resonance LTD.
Non-executive directors do not engage in the day-to-day running of the organisation but act as critical friends, advisors, and stewards of the company’s values.
Key Responsibilities
- Attend quarterly board meetings (in person or online)
- Provide insight, challenge, and support on strategic decisions
- Uphold and promote the organisation’s mission, values, and not-for-profit purpose
- Help ensure good governance, transparency, and accountability
- Support the safeguarding and risk management framework (where relevant)
- Champion collaboration and promote the organisation’s reputation
- Declare and manage any conflicts of interest
- Act in the best interests of the organisation and its beneficiaries
Commitment Expected
- Approx. 4 board meetings per year, plus occasional input or reading outside meetings
- Initial term: 1 year, renewable annually by agreement
- Commitment to act in a voluntary, non-remunerated capacity
Boundaries and Structure
- Harmony and Resonance LTD is governed by its sole member and director, Nathan Gonzalez.
- The Board of Non-Executive Directors provides strategic input and oversight, but does not hold operational control.
- The organisation operates under a not-for-profit model — no director or member may derive personal profit from its activities.
- All decision-making and voting powers rest with the sole member, unless otherwise stated in formally adopted governance documents.
- Non-Executive Directors offer strategic guidance but are not involved in day-to-day operations or the direct delivery of services. As such, they are not required to undergo DBS checks.
